Fifth Quarter Club Constitution and Bylaws

Amended 2001 ARTICLE I - NAME Section 1. The name of this organization shall be “The University of Rhode Island Fifth Quarter Club”, a non-profit satellite committee of the Rhode Island Ram Athletic Association, Whose address and principal place of business shall be Mackal Center, URI, Kingston, Rhode Island 02881-0806. ARTICLE II - OBJECTIVE To achieve the objective, the Club shall seek: A. To raise restricted funds to assist in the operation of the URI football program for items not included in the regular University budget. B. To provide a means for the raising of and expending of these funds in compliance with NCAA policies, University guidelines, Alumni Association By-laws, Federal and state laws, and all applicable league and conference policies. ARTICLE III - MEMBERSHIP A. Membership is any alumna, friend, corporation, or other business or organization who contributes to the Fifth Quarter Club $250.00 annually or a former football player that contributes $1 for every year that the football program has existed or assigned by the Head Football Coach and President of the club. (revised 3-1-02) B. Honorary membership may be granted by a two-thirds vote of the Executive Committee, to any member who has preformed outstanding service for the Club. C. Additional qualifications for membership in the Club other than those expressed in these By-laws, may be required by the Executive Committee with the approval of a majority of the members of the Committee present at any regular meeting, providing the requirements do not conflict with the Constitution and By-laws of the University of Rhode Island. ARTICLE IV - FINANCES A. In accordance with the Rhode Island Rams Athletic Association, the "Fifth Quarter Club" shall submit annually a budget to the Athletic Director for reviewed by April 15. B. The fiscal year and membership coincide with that of the Alumni Association, which is July 1 through June 30. C. In the event the budget submission date is missed by the "Fifth Quarter Club", the club will be prohibited from expending any funds until such budget is submitted to the Athletic Director and approved by the Rhode Island Rams Athletic Association. D. The Director of Athletics will be responsible for any and all distribution of payments. ARTICLE VI - FUND RAISING A. Funds which are sent as a restricted gift shall be credited to the "Fifth Quarter Club" account. B. All funds must be raised, deposited and accounted for in strict compliance with University regulations, URI Alumni Association By-laws, NCAA regulations, Federal, State and Local laws. C. Fund Raising activities must be approved in advance by the Athletic Director and Rhode Island Rams Athletic Association's Executive Committee, and Vice President of University Relations. ARTICLE VII - OFFICERS AND DIRECTORS A. The Club shall be governed by an Executive Committee of not less than ten or more than fifteen members, with a member of the Athletic Department present. The elective officers of the Club shall be a President, President Elect, Secretary, two members at large from the Executive Committee and shall be deemed the "Executive Board." The committee shall also nominate and vote on new members for Executive Committee membership from the ranks of interested members. B. Duties of the officers shall be such as their titles by general usage would indicate and such as may be assigned to them by the Executive Committee. It shall be the particular duty of the Secretary to keep the records and carry on necessary correspondence, and keep current material for submission to the membership and the Athletic Department. C. The Committee shall meet at least two times each year to review and plan for pertinent business matters and social functions. Additional meeting may also be called at the discretion of the President. Seven members of the Executive Committee shall constitute a quorum for the conduct of Club business. D. Each officer whom shall be elected will serve a term of 2 years or an additional 2 years if duty elected and qualified. E. When a vacancy occurs on the Executive Board or an elected office, it shall be filled by the Executive Committee for the remainder of the unexpired term. Any Committee member who is absent from consecutive regular meetings of the Executive Committee without acceptable written explanation will be deemed to have resigned his directorship and any elected office held. F. The Executive Committee shall be the governing body of the Club, and shall administer its business and carry out policies determined by the membership of the Club at its Annual Meeting or other regularly called meetings. G. The Executive Board shall conduct at least two meetings annually and one meeting shall be designated the annual meeting. The Executive Committee shall meet on a quarterly basis or at the direction of the President of the "Fifth Quarter Club". All members shall receive notification of meeting 10 days prior to meeting.
ARTICLE VII - ELECTION OF OFFICERS AND DIRECTORS A. At least thirty days before an annual election, at a regular meeting of the Executive Committee, a Nominating Committee of three members, two members shall be elected by the Executive Committee and the third shall be appointed by the President of the Executive Board. Additional candidates for the office to be filled may be placed in nomination from the floor at the meeting at which the election is to take place. Election of Officers shall take place at the Annual Meeting. Election Committee of three members, who shall conduct the election and report the results at the Annual Meeting. The newly elected officers for the Club shall take their office immediately after they are elected so they will be in place by January 1. B. Only those members of the Club who are in good standing shall be eligible to vote or hold elective office at the Annual Meeting or at any other regular or special meeting of the Club. ARTICLE IX - REMOVAL FOR CAUSE SHOWN A. Any officer or board member shall be removed from their position for good cause (including but no limited to attendance) that is detrimental to the interest of the Club and those mentioned in Article II - B. Re-appointment can be made by a vote of the Executive Committee present at a scheduled meeting.
ARTICLE X - COMMITTEES A. The president shall, with the approval of the Executive Committee, appoint such standing or special committees as they may deem necessary. The Club President shall be notified of all Committee meeting and shall have the right to attend their meetings and take part in the discussion, except the Nominating Committee. The President shall also have the authority to replace standing or special committee members, upon the approval of the Executive Committee, members that he feels have not performed in a diligent manner.
ARTICLE XI - MEETINGS A. The URI Fifth Quarter Club Executive Committee shall conduct a minimum of two meetings annually with one designated as the annual meeting.
An agenda of the annual meeting shall include the following: ARTICLE - XII - RULES OF ORDER A. Robert's Rules of Order, latest edition, shall be recognized as the authority governing the meeting of the Club, its Executive Committee and Committees. ARTICLE XIII - AMENDMENTS A. If action of dissolution of the Club, any assets remaining after payment of debts or provisions therefore will revert to the Foundation of the University of Rhode Island. ARTICLE XIV - AMENDMENTS A. These Bylaws may be amended by a vote of members present, provided 30 days written notice of intention to amend, together with a written copy of the proposed amendment, is given to all members. All amendments must be consistent with University regulations and policies. |
