CSTV ONLINE, INC.’s “FANS ONLY FIRST PITCH SWEEPSTAKES” CONTEST

OFFICIAL CONTEST RULES

The following sets forth the Official Contest Rules relating to CSTV Online, Inc.’s (“CSTV”) “Fans Only First Pitch Sweepstakes” Contest (the “Contest”), to be held from February 21, 2008 to March 30, 2008 (”Contest Period”).

Contest Description (How to Enter): Get ready for MLB’s Opening Day with the Fans Only First Pitch Sweepstakes. Register for Fans Only, the sports site as unique as you are, during the Contest Period and be entered to win a random drawing for one (1) of sixteen (16) prizes (as more specifically described below). There are two ways to enter the contest: 1) New users must register for a free account at Fans Only (www.fansonly.com) during the Contest Period. Upon registration, new users must complete a Contest Entry Form, accessible from the home page, in order to be eligible to win. 2) Existing registered users of Fans Only will be asked to complete a Contest Entry Form, accessible from the home page, in order to be eligible to win. In addition, both new registrants to Fans Only and previously registered users must log in on one (1) additional separate occasion in order to be entered into the drawing. The new registration or log-in during which you complete the Contest Entry Form does not satisfy the requirement of the additional log in.

Prize(s): The following prizes will be awarded via random drawing to eligible entrants of the Contest: one (1) Panasonic 42" Plasma TV, five (5) Apple iPhone 8GB, and ten (10) CSTV All-Access Subscriptions for 1 Year ($119.95 value).

Drawing: The winners of the Contest will be selected by a random drawing to be held within thirty (30) days following the end of the Contest Period. In the event of disqualification, alternate winners will also be selected by a random drawing. Any alternate winner will be notified by the e-mail address they register with on Fans Only. Odds of winning the Contest will be determined by the total number of eligible entries received.

Eligibility: Entrants must be legal residents of one (1) of the fifty (50) United States or the District of Columbia, and eighteen (18) years of age or older with a valid internet e-mail address as of the date of Contest entry. The following person(s) are not eligible to be declared the winner of the Contest (1) employees and agents of CSTV, and its respective parent, subsidiary, and affiliate and related companies, and (2) the “immediate family members” and/or “household members” of any of the persons set forth in (1) above. “Immediate family members” shall mean parents, stepparents, children, stepchildren, siblings or spouses. “Household members” shall mean people who share the same residence at least three (3) months a year.

General Conditions: By entering the Contest, each entrant accepts and agrees to be bound by these Official Contest Rules and by the decisions of CSTV, which shall be final and binding in all respects. Each winner of the Contest must sign and return an Affidavit of Eligibility and Release to CSTV prior to receiving any Prize. Taxes, if any, are the sole responsibility of the prizewinner and the prizewinner must authorize the deduction of such taxes, if any, from the prizes to the extent required by law. No substitution or transfer of prizes shall be permitted without the express written consent of CSTV. In addition, CSTV reserves the right to substitute a prize for one (1) of equal or greater value in the event that an advertised prize is unavailable. CSTV is not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including but not limited to the Official Contest Rules, the selection and announcement of the winner, or the distribution of the prizes.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Contest Rules, or the rights and obligations of participants in connection with this Contest, shall be governed by and construed in accordance with the laws of the State of New York.
